Liantai Environment: Why sell 80% of revenue, and why would SIIC buy?

A major asset sale cannot be judged by the headline equity price alone. The seller's liquidity, the buyer's funding conditions, legacy receivables, guarantee release and conditional deferred payments together determine whether the transaction can create a genuine win-win outcome.

30 SECONDS

Current conclusion

The same assets can have different economic value under different owners. Liantai may need liquidity and debt relief more urgently; SIIC may be better positioned to hold long-duration water assets if it can secure cheaper, longer-tenor funding. This is a conditional positive assessment, not a declaration that the transaction has already succeeded.

5 MINUTES / DECISION CHAIN

One number cannot answer every decision question

01

Align the accounting basis

For Hunan, the RMB570m distribution must be separated from the equity price. For Shantou, the platform price cannot be divided by total project equity without matching ownership scopes.

02

Read the seller's constraint

Operating cash flow is not free cash. Long PPP collections, near-term debt service and rising government receivables jointly create liquidity pressure.

03

Test the buyer's capacity

Treatment volumes do not improve merely because the shareholder changes. Funding cost, tenor and the capacity to wait are the variables that may change.

04

Verify realisation

Equity closing, cash collection, legacy receivable settlement, guarantee release and conditional deferred payments must be tested separately.

OUTCOME / OPEN QUESTIONS

What is established and what remains open

Confirmed

A preliminary major-asset-sale plan was published in late September 2026, disclosing scope, preliminary prices, legacy receivables and selected payment conditions.

Current judgment

The transaction may rematch the assets with a holder whose funding conditions are more suitable; the assessment is therefore conditionally positive.

Still open

How much cash and liability relief Liantai actually obtains, and how much capital SIIC ultimately commits for what distributable return.
